⚠️ IMPORTANT ARBITRATION NOTICE:

This Agreement contains a mandatory arbitration provision and waiver of jury trial. Please read it carefully before agreeing to use the Service.

Sofidel America Corp. ("Sofidel") provides the websites, computing application, and related services (collectively, the "Service"), subject to your agreement to and compliance with the conditions set forth in this Terms of Service agreement (the "Agreement").

Binding Contract

This Agreement sets forth the legally binding terms and conditions governing your use of the Service. By using the Service or otherwise entering into this Agreement, you are creating a binding contract with Sofidel. If you do not agree to these terms and conditions, you may not use the Service.

License Grant

As long as you are in compliance with all conditions of this Agreement, Sofidel grants you a limited, revocable, non-assignable, non-transferrable, non-sublicensable, non-exclusive license to access and use the Service.

Services Overview

The Service is designed to enable users to purchase, review and learn about Sofidel products. Users may use the Service on a guest basis without registration or through a registered Account. You are responsible for maintaining the confidentiality of your account credentials.

Payment Terms

Payment for goods ordered is processed by a third-party payment processor. You agree to provide accurate and complete information about your payment method and billing address. All prices displayed do not include applicable taxes or duties, which shall be your responsibility.

Rules of Conduct

Your use of the Service is conditioned upon your compliance with the following rules of conduct:

You will not violate any applicable law or regulation
You will not distribute, upload or publish any unlawful, harmful, threatening, abusive, defamatory or obscene material
You will not stalk, harass, or harm another individual
You will not modify, copy, disassemble, or reverse engineer the Service
You will not interfere with or disrupt the normal operation of the Service
You will not transmit viruses or other harmful code
You will not probe for security vulnerabilities without authorization
You will not impersonate any other person or business
You will not harvest or collect personal information of other users

Disclaimers and Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT ANY WARRANTY OF ANY KIND. WE SPECIFICALLY DISCLAIM ANY IMPLIED WARRANTIES OF TITLE, ACCURACY, MERCHANTABILITY, AND FITNESS FOR A PARTICULAR PURPOSE.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE ARE NOT LIABLE FOR:

(1) ANY DAMAGES IN EXCESS OF FIVE HUNDRED DOLLARS ($500.00), OR
(2) ANY INDIRECT, INCIDENTAL, PUNITIVE, EXEMPLARY, SPECIAL, OR CONSEQUENTIAL DAMAGES

Governing Law and Arbitration

This Agreement shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions. Any dispute arising out of or relating to this Agreement or your use of the Service shall be finally and exclusively resolved by binding arbitration in accordance with the Federal Arbitration Act. Arbitration shall be conducted in English in Tampa, Florida by the American Arbitration Association.
